CorpDirect Agents recommends that our law firm clients provide us with client-direct contact information for billing, annual reports, correspondence, and service of process forwarding purposes. The firm following a practice of providing client-direct data at the time of initial entity formation, or at the time of our appointment as registered agent, allows us to begin a communication process with the client to ensure the company maintains its corporate registration goodstanding. It also allows the firm to get out of the 'middleman' role, especially as it relates to annual renewal billing. As an option, the firm may designate a firm contact as a secondary service of process (SOP) contact in addition to the company primary contact in order that a courtesy emailed notice of any SOP forwarded to client is provided to the firm. The firm may then react to represent the client as needed. Using this practice allows the firm to do what it does best, eliminates an element of liability for the firm, and allows us to ensure the best interest of the company is met with regard to entity management and registration compliance.
As registered agent, we are not directly responsible for meeting annual report or other corporate compliance filing requirements. That is the responsibility of the company. CorpDirect Agents registered agent service is an annual, renewable service which is billed 60 days prior to the actual renewal date in order to allow time for payment before the service expires. Our service begins from the date of our appointment, and as a statutorily required service, it cannot cease until documents are filed with the Secretary of State for dissolution/cancellation or resignation of the agent. Accounts for registered agent service require 'Payment By Credit Card on File' or credit terms extended. Please complete and submit the register form to set up your account payment method, unless your account currently has credit terms extended.
When CorpDirect Agents staff receives service of process in an entity's behalf by Personal Service, Certified Mail or Overnight Courier, it is immediately scanned into our system then forwarded to your designated SOP contact by FedEx the same day it was received. We take our agent responsibility seriously and utilize FedEx's guaranteed overnight service to forward important legal documents to you. You will be invoiced for FedEx shipping charges at the retail rate. In order to provide our 'nothing less than the best' service, we will forward SOP by whatever methods a client prefers if we have other specific delivery instructions on file. Delivery instructions can be updated at any time using the company contact information form.
Prior to shipping, staff will provide both a telephonic and e-mail notification that SOP has been received and how it is being forwarded. The e-mail notification will include a summary of the case information, party information, title and nature of action, response date and how service was received, as well as a complete scanned copy of the SOP. A response date alert will be provided when a response is due within one week to ensure your attention. The service data is then recorded into EMS and your receipt of the SOP is monitored to ensure an accurate record is historically maintained including updating EMS as to delivery and signed receipt records when FedEx is used.
Once the service is received by the SOP contact, final receipt of the SOP is acknowledged online in EMS. CorpDirect Agents will forward three (3) SOP materials received annually at no additional charge. The allowable number of forwardings is considered cumlatively based on the total number of units we represent for you. A $35 per SOP handling fee is incurred thereafter and this is billed monthly along with any shipping costs.
CorpDirect Agents will accept and forward any legal correspondence, official agency correspondence, tax notices and annual reports received in a clients behalf the same day it is received via regular mail or as otherwise instructed. Legal correspondence is forwarded to the SOP contact and official correspondence, tax notices and annual reports are forwarded to the annual report contact.
CorpDirect Agents also accepts and forwards most general correspondence received via regular mail or as otherwise instructed on a weekly basis. Any material determined to be 'junk mail' is not forwarded. The use of our agent address for principal address is allowed for most states. If general correspondence is found or expected to be of large volume, a mail forwarding service can be added for most states. Inquire before using our agent address for principal address.
A defendant usually has a minimal time frame in which to respond to a plaintiff's claims when sued. This response date can be as short as 20 days. With our valued added response date alert, if we find a response due date is within one week for a summons or important served document, we will provide you with a response date alert to warn you of the short time frame to respond. In fact, we will provide you with telephonic and e-mail notification of all service acceptance. The primary responsibility of a registered agent is the timely and accurate handling of service of process and no other service company can meet our standards of operation.
