To establish an account with CorpDirect Agents, Inc., the individual submitting the registration request and representing the subscriber as an authorized party hereby acknowledges and agrees:

CORPDIRECT AGENTS is licensed and insured according to Section 493, Florida Statutes, under license #A9400122. CorpDirect Agents and its staff do not provide legal advice or services.

CORPDIRECT AGENTS Financial Crimes and Client Risk Guidelines Policy requires any potential customer who is a nonresident alien of the U.S., foreign individual, or foreign commercial customer (company), including any company principals identified in any corporate documents received from an international customer, to provide a copy of a passport, Visa or valid government identification for each such party. CORPDIRECT AGENTS is not liable for any errors or omissions on the part of any filing officer of any public records custodian, clerk or representatives of the court, or representatives of any local, state, federal or international government, and is liable only for an amount not to exceed the fees paid for the specific services giving rise to any claim for liability.

CORPDIRECT AGENTS searches a subject name EXACTLY AS GIVEN. CorpDirect Agents policy regarding UCC searches is to report all unlapsed UCC filings reflected in the index of a filing office to include termination statements filed after the effective date of RA9 in the respective jurisdiction in which the search is being conducted ('Unlapsed and Terminated Search'); unless specifically requested at the time of each order to additionally report lapsed filings. Subscriber should obtain a thorough review of Revised Article 9 of the Uniform Commercial Code by legal counsel to consider its affect on transactions including the subscriber's review of terminated filings. CORPDIRECT AGENTS, its representatives, agents and staff is indemnified and held harmless by the Subscriber from any liability, judgment, claim or any legal action that may arise as the result of the performance of services described herein, or from the Subscribers failure to provide current contact information for the forwarding of service of process or materials received in the course of our performing registered agent services.

CORPDIRECT AGENTS invoices for registered agent (RA) services 60 days prior to the renewal date for an entity, and any invoice not paid prior to the renewal date can result in resignation of the RA and possible dissolution of the associated entity. Any expenses incurred when an RA invoice/account is delinquent, or when an RA is forced to resign, is the responsibility of the Subscriber.

SUBSCRIBER agrees and understands that the establishment of an unsecured credit account is at the sole discretion of CorpDirect Agents when credit history is not considered and that a credit report authorization form may be required for CorpDirect Agents to obtain a credit report and establish credit worthiness.

SUBSCRIBER agrees and understands that credit accounts secured by credit card may have limited credit extended and a credit report authorization form may be required for CorpDirect Agents to obtain a credit report and establish credit worthiness for extension of credit exceeding $500.

SUBSCRIBER authorizes CorpDirect Agents to charge any credit card provided under this agreement for services rendered, including a State Fees Prepay Convenience Fee which is based on the amount of state, agency or other governmental fees prepaid in behalf of the Subscriber during the performance of services and for any delinquent balance of 60+ days on accounts secured by credit card.

SUBSCRIBER will pay CorpDirect Agents as enumerated in the Schedule of Fees provided for their account, for services rendered not listed under the schedule, for services rendered as otherwise agreed upon, as well as any associated costs or expenses to perform the request and will pay any and all attorney's fees and/or costs expended to collect the account when in delinquency. Invoices are due within 30 days unless otherwise agreed or an interest rate of 1.5% per month (18% annual) will apply.

SUBSCRIBER agrees that this contract and its provisions are assignable as provided by law and agrees that submission of a registration request and use of our service, by any staff or representatives of the Subscriber company, implies agreement to these terms.
